Introduction
Welcome to Sophinauta Ltd. We offer digital products, including mobile apps and webapps. These terms govern your use of our services and products.
Account Terms
- Accurate Information: Users must provide accurate and current information during the account creation process. Any changes to such information should be updated promptly.
- Personal Use: Accounts are for personal use only. Users cannot share, transfer, or sell their accounts to another person or entity.
- Account Security: Users are responsible for maintaining the security of their accounts. This includes safeguarding passwords and access credentials. Users should immediately report any unauthorized use of their accounts.
- Prohibition of Automated Creation and Bots: The use of bots, automated methods, or other non-human means to create accounts is strictly forbidden. We reserve the right to suspend or terminate accounts created through such methods, without prior notice.
Payments, Refunds, and Plan Changes
- Payment Terms: Users must pay the fees associated with their selected plan. Payments are due on the subscription start date and subsequently at the beginning of each billing cycle.
- Refund Policy: Refunds are provided at our discretion and in accordance with our refund policy. Users may request a refund by contacting our support team.
- Plan Changes: Users can upgrade or downgrade their service plan. Upgrades are billed immediately, while downgrades take effect at the start of the next billing cycle.
- Failure to Pay: In case of non-payment, we may freeze the user’s subscription. Users will be notified and given a grace period to settle their dues.
- Automatic Cancellation: If the dues are not cleared within the grace period, the subscription may be automatically cancelled. Users will lose access to the paid features and any data stored in their account. Reinstatement of the account may require payment of the outstanding balance.
Cancellation and Termination
- User-Initiated Cancellation: Users can cancel their accounts at any time via their account settings or by contacting our support team. Upon cancellation, users will lose access to all services from the end of their current billing cycle.
- Company’s Right to Terminate: We reserve the right to suspend or terminate a user’s account and refuse any current or future use of our services and products at any time for any reason. This includes, but is not limited to, violations of these terms, unlawful activity, or behavior that disrupts our services.
- Termination for Abuse: Any form of verbal, physical, written, or other abuse (including threats of abuse or retribution) directed towards any employee, member, or officer of Sophinauta Ltd will result in immediate account termination. We take the safety and well-being of our staff seriously and will not tolerate any form of abuse.
- Consequences of Termination: Upon termination, users will lose access to their accounts, services, and all associated data. We are not obligated to provide a refund or any form of compensation for terminated accounts.
Modifications of the Service and Prices
- Service Modifications: We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our services with or without notice. We will endeavor to provide reasonable notice of significant changes to our services, but this is not always possible or guaranteed.
- Discontinuation of Service: In the event of discontinuation of a service, we will make reasonable efforts to provide affected users with options that minimize disruption, such as migrating to a similar service if available.
- Pricing Changes: Prices for our products and services are subject to change. Existing clients will receive a 30-day notice prior to any pricing changes. This notice will be delivered via the user’s registered email or through notifications within the service.
- Price Structure Modification: We reserve the right to change the pricing structure for our products, including introducing new charges for previously free services. All such changes will be communicated to existing clients at least 30 days in advance.
Uptime, Security, and Privacy
- Uptime Commitment: We strive to ensure maximum uptime for our services. However, due to the inherent nature of online services, we cannot guarantee uninterrupted or error-free service.
- As Is and As Available: Our services are provided “as is” and “as available”. Users agree to use the service at their sole risk. We do not warrant the reliability, quality, suitability, or availability of our services, including any content, products, or features therein.
- Excessive Usage: We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers. In such cases, we will attempt to reach out to the user to discuss usage needs and potential solutions.
- Security Measures: Our security measures are designed to protect the integrity and availability of our services. These measures include, but are not limited to, data encryption, regular software updates, and network security protocols.
- Privacy and Data Protection: We are committed to protecting the privacy and security of our users’ data. Our privacy policy details how we collect, use, and safeguard user information.
Copyright and Content Ownership
- User Content Compliance: All content posted by users on our platform must comply with United States copyright law. Users are responsible for ensuring that their content does not infringe upon the rights of others.
- No Ownership Claim: We claim no intellectual property rights over the content posted by users. Users retain full copyright over their content.
- License to Sophinauta Ltd: By using our services, users grant Sophinauta Ltd a non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display their content for the purpose of operating and improving our services.
- Use of Sophinauta’s Intellectual Property: Permission must be obtained to use any of Sophinauta’s logos, promotional content, or trademarks. We reserve the right to rescind any permission granted to use our intellectual property at any time and for any reason.
- Restriction on Reproduction and Resale: Users agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the services, use of the services, or access to the services without the express written permission from Sophinauta Ltd.
Features and Bugs
- Continuous Improvement: We are committed to continually updating and improving our services. This includes regular enhancements, feature updates, and performance optimizations to provide a better user experience.
- Reporting Bugs: We encourage users to report any bugs or issues they encounter while using our services. User feedback is valuable in helping us identify and address problems promptly.
- No Guarantee of Error-Free Service: While we strive to provide high-quality, reliable services, we do not guarantee that our services will be completely error-free or uninterrupted. The nature of software and digital services means that occasional bugs and disruptions are inevitable.
- Responsiveness to Issues: We dedicate resources to promptly address and resolve reported bugs. However, the time to resolve specific issues may vary based on the complexity and nature of the problem.
Services Adaptations and API Terms
- API as Part of Our Services: The API provided as part of Sophinauta Ltd’s services is subject to specific terms and conditions governing its use. Users must adhere to these terms to maintain access to our API.
- Abuse and Excessive Use: Any abuse or excessively frequent requests to our API may lead to temporary or permanent suspension of account access. Such determinations will be based on how usage compares to the average patterns of other users.
- Notification of Suspension: Should we need to suspend access due to misuse of our API, we aim to notify the affected user beforehand, provided it’s practical and does not conflict with our service integrity or legal responsibilities.
- Liability for API Use: Sophinauta Ltd disclaims liability for any direct, indirect, incidental, special, consequential, or exemplary damages or losses arising from the use of our API, either directly or through third-party integrations. This includes but is not limited to loss of profits, goodwill, data, or other intangible losses.
- Third-Party Integrations via Our API: Users integrating third-party services through our API do so at their own risk. Sophinauta Ltd assumes no responsibility for the functionality or security of services integrated via our API.
Liability
- General Limitation of Liability: Sophinauta Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with our services, or this agreement (however arising, including negligence).
- Scope of Liability: This limitation of liability applies to all aspects of user interactions with our service, including but not limited to service malfunction, service unavailability, data loss or corruption, and any harm or damages resulting from the use of our service.
- Liability to Third Parties: Sophinauta Ltd shall not be liable to you or any third party for any of the aforementioned types of damages.
- Acknowledgement by Users: By using Sophinauta Ltd’s services, users acknowledge and agree that the entire risk arising out of their use of the services remains solely with them, to the maximum extent permitted by law.
